Terms of Service

1. Overview

Authentified provides a next-generation Insight platform and curated professional networking experiences connecting founders, investors, and corporate executives through verified engagement tools and invitation-only events ("The Solution").

Our Services include:

• The Solution – Insight and CRM-enhanced networking platform
• Intro - next gen events
• How it Works – Workflow automation and investor/customer relationship mapping
• Events and Demo Tables – Curated dinners and startup showcase tables
• FAQ and Help – User guidance and support channels

2. Definitions

• "Services" means the Authentified platform, and curated B2B networking events.
• "User," "you," "your" means any individual or entity using the Services.
• "Event" means a networking dinner, demo-table showcase, or related business event organized by Authentified.
• "Demo Table Participant" means a founder, company, or representative that books a demo table for showcasing a product or service.
• "Sponsor" means a corporate partner supporting an Authentified event.
• "Third-Party Services" include payment processors, hosting providers, or event partners (e.g., Stripe, Luma).

3. Acceptance of Terms

By creating an account, registering for an event, or participating in a demo table, you agree to these Terms and our Privacy Policy.

If you are entering into this agreement on behalf of a business or organization, you represent that you have authority to bind that entity.

4. Eligibility

You must be at least 18 years old to use Authentified. By using the Services, you confirm that you meet this age requirement and that your registration information is accurate and complete.

5. Accounts

To use certain features, you must create an account. You agree to:

• Provide accurate, current information;
• Keep login credentials secure;
• Notify us immediately of unauthorized access.

We may suspend or terminate any account that violates these Terms or engages in abuse, fraud, or misrepresentation.

6. Event Participation

6.1 Registration & Access

Event attendance or demo-table participation requires prior registration via our platform or authorized partner systems (e.g., Luma). Authentified reserves the right to accept or decline participation at its discretion.

6.2 Payment Terms

• Demo tables and premium participation slots are subject to posted fees (typically USD $2,000 unless otherwise noted).
• Payments are processed securely through Stripe (unless noted otherwise).
• Full payment is required to confirm your spot.

6.3 Refund & Cancellation Policy

• All demo-table and event registration fees are non-refundable once paid.
• If Authentified cancels or reschedules an event, you may request either a full refund or a credit for a future event.
• Substitutions (transferring your demo-table slot to another representative) may be permitted with prior written approval.

6.4 Event Conduct

All participants must follow our Code of Conduct, which prohibits harassment, discrimination, solicitation unrelated to the event's theme, and disruptive behavior.

Authentified reserves the right to remove any participant violating this policy without refund.

7. Demo Table Participation Terms

7.1 Scope of Participation

Demo tables allow startups or service providers to present their products or services to event attendees and sponsors in a professional setting. Authentified provides the physical setup (table space and signage) but not product equipment, marketing materials, or internet access unless specified.

7.2 Use of Brand & Materials

By participating, you grant Authentified the right to use your company name, logo, and description for promotional purposes (event page, social posts, post-event reports, etc.).

You represent that you own or have rights to all materials displayed or distributed at the demo table.

7.3 Sponsor Access & Networking

By participating in a demo table event, you acknowledge that:

• Sponsors and attendees will have access to your professional information (e.g., name, title, company, and LinkedIn).
• Sponsors may contact you for follow-up business networking.
• Authentified may include your participation details in post-event sponsor analytics and attendee directories.

You may opt out of future sponsor communications by emailing privacy@authentified.io (not retroactive).

7.4 Liability Waiver

By registering for a demo table or attending any Authentified event, you agree to the following waiver:

8. Professional Conduct

All users and attendees must engage respectfully. Prohibited conduct includes:

• Harassment or discrimination;
• Unauthorized data collection or solicitation;
• Misrepresentation of affiliation;
• Recording or distributing event content without consent.

Violations may result in suspension, expulsion, or permanent ban from Authentified events and the Authentified platform.

9. Intellectual Property

All content, software, trademarks, and event materials belong to Authentified or its licensors. You may not copy, modify, or redistribute them without express permission.

You retain ownership of any materials you display at a demo table but grant Authentified a non-exclusive license to use them for event marketing and documentation.

10. Third-Party Services

Our Services integrate third-party tools such as Stripe, Luma, Loops, and LinkedIn. Their own terms and privacy policies govern your interactions with them. Authentified is not responsible for their actions or omissions.

11. Disclaimer of Warranties

The Services are provided "as is" and "as available." Authentified disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We make no guarantees about outcomes from networking, sponsorships, or business introductions.

12. Limitation of Liability

To the maximum extent permitted by law:

• Authentified's total liability for any claim shall not exceed the greater of USD $100 or the total fees paid by you within the past six (6) months.
• Authentified shall not be liable for indirect, incidental, consequential, or punitive damages (including lost profits or reputational harm).

This limitation does not apply to willful misconduct, fraud, or violations of applicable data-protection law.

13. Indemnification

You agree to defend, indemnify, and hold harmless Authentified and its affiliates from any claims, damages, or expenses arising out of your:

• Use of the Services;
• Display or distribution of materials at demo tables;
• Breach of these Terms or violation of any law or third-party right.

14. Data Protection

Your personal information is handled according to our Privacy Policy, which explains how we collect, use, and share data in compliance with applicable laws (GDPR, CCPA, and others).

15. Termination

We may suspend or terminate your account or event access for any violation of these Terms or legal reasons.

You may terminate your account by emailing support@authentified.io.

Sections 7, 9, 11–13 survive termination.

16. Force Majeure

Authentified is not liable for any failure or delay in performance due to causes beyond its reasonable control, including acts of God, natural disasters, strikes, government restrictions, or venue closures.

17. Governing Law & Venue

These Terms are governed by the laws of the State of California, excluding conflict-of-law rules.

Any dispute shall be resolved exclusively in the state or federal courts located in San Mateo County, California, unless otherwise required by law.

18. Modifications

We may update these Terms at any time. The updated version will be posted on our website with a new "Last Updated" date. Continued use of the Services after an update constitutes acceptance of the revised Terms.
